As used in these Terms and Conditions, the terms “we,” “us,” “our,” or “BIOMEDICA CRO” refer to BIOMEDICA CRO, its subsidiaries, and affiliates. BIOMEDICA CRO is not responsible or liable for any errors on the Site and reserves the right to correct any erroneous pricing information or other data and information on this Site at any time and at its sole discretion.

BIOMEDICA CRO reserves the right to assign any of its rights or obligations under these Terms and Conditions, in whole or in part, to any third party at any time, at its sole discretion, with or without notice.

 

13. Future Amendments

13.1. You acknowledge and agree that BIOMEDICA CRO may, at any time and at its sole discretion, modify, amend, add, or remove any provision or portion of these Terms and Conditions, including any policies incorporated herein by reference.

13.2. It is your responsibility to read the Terms and Conditions each time you visit the Site. Your continued access to and use of the Site constitutes your acceptance of the Terms and Conditions and any amendments thereto.

 

14. Severability of Agreement and Ambiguities Related to Drafting

14.1. If any part, section, term, or provision of these Terms and Conditions is held by an arbitrator or a court of competent jurisdiction to be invalid or unenforceable for any reason, the validity of the remaining parts, sections, terms, or provisions of these Terms and Conditions shall not be affected, and the rights and obligations of the parties shall be construed and enforced as if these Terms and Conditions did not contain the particular part, section, term, or provision held to be invalid.

14.2. Any ambiguity created by these Terms and Conditions shall not be construed against BIOMEDICA CRO.

 

15. Dispute Resolution

15.1. Any and all disputes, complaints, and/or claims arising from or relating to these Terms and Conditions, or the meaning, interpretation, or applicability of these Terms and Conditions, shall be governed, interpreted, and construed in accordance with the laws of Ukraine.

15.2. To the fullest extent permitted by law, any and all disputes, complaints, and claims arising from or relating to these Terms and Conditions, the meaning, interpretation, or applicability of these Terms and Conditions, or your access to or use of the Site shall be resolved by final and binding arbitration. The arbitration shall be administered by the Ukraine Arbitration Association under its Commercial Mediation Procedures in Ukraine.

15.3. You acknowledge and agree that, to the fullest extent permitted by law, you must initiate any dispute, complaint, or claim within six (6) months after the cause of action subject to that dispute, complaint, or claim arose; otherwise, all disputes, complaints, or claims arising from or relating to that cause of action shall be permanently barred.

15.4. To the fullest extent permitted by law, any and all arbitration proceedings and the resolution of disputes, complaints, and claims between you and BIOMEDICA CRO shall take place on an individual basis; you must personally and individually file any such claim; class actions are expressly prohibited.
